These Terms of Service (the “Terms”) constitute a binding agreement between you (the “Customer”, “you”) and Techna Company Limited, a company incorporated under the laws of the Republic of Kenya (“Techna”, “the Company”, “we”, “us”), governing your access to and use of ForgeLab and any related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.
“Service” means the ForgeLab platform, including its web application, application programming interface, and any associated agent outputs. “Content” means any brief, text, sketch, image, 3D model, or other material submitted to the Service by the Customer. “Output” means any design candidate, manufacturability critique, cost estimate, manufacturer match, or document generated by the Service in response to Content. “Applicable Law” means the laws of the Republic of Kenya, including without limitation the Consumer Protection Act, 2012, the Data Protection Act, 2019, and the Computer Misuse and Cybercrimes Act, 2018.
The Service operates a set of software agents (Design, DFM, Material Advisor, Cost Estimator, Matching, and Outcome Logger) that process Content to produce Output, including candidate designs, a manufacturability critique, a parametric cost estimate, and a shortlist of pilot manufacturers. The Service is a design-assistance tool. It does not constitute, and Techna is not, a manufacturer, procurement broker, or licensed engineering firm.
All Output is provided on an advisory basis only. Output does not constitute a manufacturing certification, a structural, safety, or regulatory engineering sign-off, or a binding quotation from any manufacturer. The Customer is solely responsible for independently verifying manufacturability, cost, dimensional tolerances, material suitability, and applicable regulatory or safety compliance before committing any design to production, tooling, or sale.
The Service does not, of its own accord, mark a design as production-ready, release an order package to a manufacturer, or disclose a design outside the Customer's account. Each such action requires a distinct, affirmative act by the Customer or an authorised user of the Customer's account. No Output is to be treated as transmitted, ordered, or otherwise committed until such an act has occurred.
You must be at least 18 years of age, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract to use the Service. You are responsible for all activity occurring under your account and for maintaining the confidentiality of your credentials. You undertake to provide accurate and current information when creating an account and to notify us promptly of any unauthorised use of your account.
You may delete your account at any time from Account settings. Deletion permanently removes your designs, runs, and documents from our systems and cannot be reversed. See our Privacy Policy for further detail on data retention and deletion.
You undertake not to use the Service to:
We reserve the right to suspend or terminate, with or without notice, any account found to be in breach of this section.
As between the Customer and Techna, the Customer retains all right, title, and interest in and to its Content and the Output generated from it. The Customer grants Techna a limited, non-exclusive licence to process, store, and display Content and Output solely for the purpose of providing the Service to the Customer. Techna does not claim ownership of Customer Content or Output and does not use Customer Content to train models on behalf of, or for the benefit of, any other customer.
All right, title, and interest in and to the Service itself — including its software, agent architecture, rulebooks, and branding — remain the exclusive property of Techna and its licensors. Nothing in these Terms grants the Customer any right or licence in respect of the foregoing, other than the limited right to use the Service in accordance with these Terms.
Paid plans are billed on a recurring, per-seat basis through our designated payment processor. By subscribing to a paid plan, you authorise us (through our payment processor) to charge the applicable fees to your chosen payment method on a recurring basis until cancelled. You may cancel a subscription at any time from Account settings; cancellation takes effect at the end of the then-current billing period. Save as required by Applicable Law, fees already paid are non-refundable.
Each party agrees to protect the confidential information of the other party using at least the same degree of care it uses to protect its own confidential information of similar nature, and not to disclose such information to any third party except as necessary to perform its obligations under these Terms, as required by Applicable Law, or with the disclosing party's prior written consent.
To the fullest extent permitted by Applicable Law, the Service and all Output are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes or limits any warranty, guarantee, or right that cannot lawfully be excluded or limited under the Consumer Protection Act, 2012 or other Applicable Law.
To the fullest extent permitted by Applicable Law, Techna shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, data, or goodwill, arising out of or in connection with the Service or any manufacturing, procurement, or commercial decision made in reliance on Output. Techna's aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by the Customer to Techna in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify and hold Techna harmless from and against any claim, liability, damage, loss, and expense, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your Content, or your use of the Service in violation of Applicable Law or the rights of any third party.
We may suspend or terminate your access to the Service, in whole or in part, at any time if we reasonably believe you have breached these Terms, or as required by Applicable Law. You may terminate your account at any time as described in Section 5. Provisions of these Terms which by their nature ought to survive termination — including Sections 7, 9, 10, 11, and 15 — shall survive.
Neither party shall be liable for any failure or delay in performance under these Terms resulting from any cause beyond its reasonable control, including but not limited to acts of God, natural disaster, war, civil unrest, act of government, or failure of telecommunications or internet infrastructure.
These Terms are governed by, and shall be construed in accordance with, the laws of the Republic of Kenya. The parties shall first attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation. Failing resolution within thirty (30) days, the dispute shall be subject to the exclusive jurisdiction of the courts of Kenya.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Techna regarding the Service. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
We may amend these Terms from time to time to reflect changes to the Service or Applicable Law. Where we do, we will update the date at the top of this page. Your continued use of the Service after such amendment constitutes your acceptance of the amended Terms.
